Content published on imvesters.ch is provided for informational and commercial purposes only. It does not constitute personalized investment advice, legal advice, tax advice, an investment recommendation or a public offer.

Each investor is responsible for their own decisions and must assess whether an opportunity matches their financial situation, objectives and risk tolerance.

2. Platform status

imvesters.ch is operated by S2I (Swiss Innovative Investment) SA, a Swiss company based in Lausanne, Switzerland.

S2I is affiliated with ARIF for AML and FinSA purposes. Gillian Nespolo is registered in the ARIF client advisor register under number 4038, and the competent mediation body is FINSOM.

S2I does not hold a FINMA authorization, is not subject to FINMA prudential supervision and does not conduct banking activity. Investor funds are not protected by a deposit guarantee scheme.

The platform acts as an intermediary facilitating loans to SPVs or project companies. It does not provide portfolio management, personalized advice or performance guarantees.

3. Risk of capital loss

Any investment presented by imvesters.ch involves a risk of partial or total loss of invested capital. No guarantee can be given regarding recovery of the initial capital.

The value of the underlying asset and project liquidity depend on operational performance, the local real estate market, macroeconomic conditions, the legal and tax structure, and decisions specific to each project.

4. Return risk

Returns shown on the website, including indicative rates, projected returns, target IRR or multiples, are projections and not guarantees. The actual return may be lower or negative.

The effective return depends in particular on the borrower's ability to repay principal and interest. Any delay, partial default or total default directly affects investor remuneration.

5. Liquidity risk

Investments presented on the website are generally illiquid. There is no organized secondary market. Investors must be able to immobilize their capital for the expected investment period, which may extend over several years.

No early exit is guaranteed. Even where an exit or investor-matching mechanism is contemplated, its availability, price and execution time are not guaranteed.

6. Potential guarantees and default risk

Although some projects may benefit from security interests, such as mortgages, guarantees or pledges, these do not guarantee full coverage of invested capital in case of borrower default.

Enforcing security interests may be lengthy, uncertain and costly. Net proceeds may be insufficient to cover principal and interest due.

7. Operational and counterparty risks

Project execution depends on third parties such as developers, builders, operators, managers, tenants, banks, technical providers and fiduciary intermediaries. Failure, insolvency, poor performance, dispute or delay by a third party may affect return, liquidity or capital value.

The investor acknowledges direct counterparty risk on the SPV or project company receiving the loan.

8. Concentration risk

A concentrated exposure to a single project, developer, market segment or geographic area exposes the investor to significantly increased risk. Diversification is recommended and no opportunity should represent all or a majority of an investor's assets.

9. Currency risk

For projects denominated in or exposed to currencies other than Swiss francs, exchange rate fluctuations may have a positive or negative impact on investment value and effective return received in CHF.

10. Tax risks

The tax treatment of an investment depends on each investor's personal situation and country of residence and may change over time.

The Company does not provide personalized tax advice. Investors should consult an independent tax advisor to assess tax consequences.

12. Escrow of funds — No deposit guarantee

Investor funds are not held by the Company. They transit through segregated escrow or payment accounts held by regulated third-party financial intermediaries.

The Company does not conduct banking activity. Funds paid are not bank deposits and do not benefit from esisuisse or any other deposit protection scheme.

13. Territorial restrictions

Opportunities presented on the website are not directed, directly or indirectly, at US Persons or at persons located in jurisdictions where promotion or marketing of such products would be contrary to local law. Each user must verify that they may legally access the content and invest.

15. Contractual documentation

Before any investment decision, the investor must review all contractual documentation specific to each opportunity, which prevails over any marketing content published on the website.

In case of doubt, the investor should consult an independent financial, legal or tax advisor.

16. Limitation of liability

All information published on the website is provided for informational purposes and may be changed without notice. The Company cannot be held liable for the accuracy, completeness or timeliness of information, subject to mandatory Swiss law.

To the extent permitted by law, the Company's liability is limited to direct damages resulting from gross negligence or intentional misconduct.

The user acknowledges having read and understood this Disclaimer. Access to opportunities and contractual documentation may be subject to explicit acceptance of this document before project files or investment expressions of interest are made available.

18. Complaints and mediation

Any complaint may be sent in writing to Imvesters c/o S2I (Swiss Innovative Investment) SA, Voie du Chariot 3, 1003 Lausanne, or by email to info@imvesters.ch with the subject 'Complaint'. The Company endeavors to provide a reasoned response within 30 days.

Failing an amicable resolution, the user may contact FINSOM (Financial Services Ombudsman) free of charge in accordance with art. 74 FinSA.

19. Applicable law and jurisdiction

This Disclaimer is governed by Swiss law, excluding conflict-of-law rules. Any dispute relating to its interpretation or performance is subject to the ordinary courts of the Canton of Vaud in Lausanne, subject to mandatory consumer protection rules.
